1. Acceptance of Terms

By placing an order with Layer Co. ("we", "us", "the Company"), you agree to be bound by these Terms & Conditions. These terms govern the supply of frozen, pre-portioned desserts and related services to business customers (restaurants, cafés, cloud kitchens and similar establishments) in India.

2. Eligibility

Our products and services are intended exclusively for registered businesses operating in the food service industry. By ordering, you confirm that you are authorised to enter into binding contracts on behalf of your business and that the products will be served in a commercial setting.

3. Orders & Pricing

• Minimum order quantity (MOQ) is 2 trays per SKU per order, unless otherwise agreed in writing.
• Prices are quoted in Indian Rupees (₹) and are exclusive of applicable GST.
• We reserve the right to revise prices with 30 days' notice.
• Orders are confirmed only after written acknowledgement from Layer Co.

4. Payment

Payment terms are as follows:

• New accounts: full payment by advance bank transfer or UPI prior to dispatch.
• Qualified accounts: 7-day credit terms may be extended at our discretion, subject to credit assessment.
• Overdue invoices may attract interest at 1.5% per month (or as required by Indian law) and may result in suspension of further supply.

5. Delivery

We deliver to customer-specified addresses within Bangalore within 48 hours of order confirmation. Risk and title in the goods passes to the customer on delivery. Customers must inspect goods on receipt and notify us of any visible damage within 24 hours.

6. Storage & Use

Customers must store products at −18°C or below until thaw, and must follow our recommended thaw and serving instructions. Layer Co. is not responsible for product quality issues arising from improper storage or handling after delivery.

7. Intellectual Property

All recipes, formulations, product designs, brand names, logos, photography, marketing materials and the contents of this website are the intellectual property of Layer Co. and may not be reproduced, distributed, or used commercially without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Layer Co.'s aggregate liability arising out of or in connection with any order shall be limited to the invoice value of that order. We are not liable for any indirect, incidental, or consequential losses.

9. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, government action, transportation disruptions, or supply-chain shortages.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Bangalore, Karnataka.
